Terms of Service
This SERVICE AGREEMENT, hereinafter referred to as the "Agreement", is entered into by and between:
Vicolize Online Consultant, hereinafter referred to as "Agency"; -and-
[Client], hereinafter referred to as the "Customer."
Collective, the Agency and the Customer are referred to as "Parties."
The Parties agree to the following recitals:
Whereas, the Agency is in full legal capacity as a company specializing in the field of Facebook advertising & funnel development;
Whereas, the Agency affirms that it has the required experience and ability to provide the Customer with the Services;
Whereas, the Agency agrees to be so engaged and to provide the Customer the Services, all subject to the terms and conditions contained herein;
WHEREAS, the parties desire to express in writing their mutual understanding and agreements with respect to this engagement; and,
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the parties hereto, intending to be legally bound, do hereby agree as follows:
1. GENERAL ACQUIESCENCE
In addition to the Terms of Service (TOS) found on the Agency's website, the Customer hereby concurs, agrees and acquiesces to the provisions of this Service Agreement. In case the undertakes a revised version of the TOS, the Customer furthermore agrees to visit the Agency's website from time to time and undertake a due diligence review in order to be apprised of these revisions.
2. SCOPE OF WORK
The following is a preliminary scope of work based and is subject to change once the agency establishes a full Client Scope Document. The Agency is being recruited to assist in the following:
Consult with Client and establish project timelines and expectations
Develop, create, and manage funnel strategy and ad campaign
Test, optimise and report on campaign performance
Specific timeframes of deliverables will be provided to customer but are subject to change in the occurrence of unforeseeable events or circumstances beyond the agency’s control.
The Customer may avail from the Agency for consultation on the nature, timing and extent of these services either via email, over the telephone, in person, or at Customer’s office.
3. FEES
For undertaking the engagement and for other good and valuable consideration, including but not limited to, the substantial benefit the Customer will derive from the Agency’s services, the Customer agrees to compensate the Agency a professional fee of [Fee Amount] AUD payable in the following manner:
· Upon AGREEMENT
· Ongoing: Agency rate of 15% of ad spend (payable end of month) if budget is more than 5k/month.
The Client must provide a 14 day notice to the Agency to terminate the contract prior to the agreed upon term. A 10% penalty fee on remaining amounts due for duration of contract shall be payable for termination of the contract.
The Agency must provide the client with a 30 day termination notice period.
Any additional work carried out outside of the Scope of Work provided to client will be charged at an additional fee of $95/hr. The Agency shall notify the Client of such situations or charges before commencing work.
All prices quoted are in AUD.
Late payments or failure of payments will result in immediate cessation of all work carried out by the Agency. All work remains the sole right of the Agency until payment is made.
Commencement is scheduled for the [Date]. By availing of the Agency’s payment plan, both parties agree to the terms of service.
4. REFUND/ CANCELLATION STIPULATION
Full refund will be issued if our guarantee is not met, The client also can choose to have the second month for no-charge.
The Client agrees that the Agency shall not be held liable for results outside of its control - such as the quality of leads or sales made by the Client’s team.
GUARANTEES PROVIDED
30 Days Money Back Back Guarantee, clients are subject to a 30 Days Guarantee if we do not produce any leads for the first month. Our 30 Days Money Back Guarantee is only available for Flexible Facebook Marketing Package.
The Client agrees that the Agency shall not be held liable for results outside of its control - such as the quality of leads or sales made by the Client’s team.
5. PAYMENT SCHEME
The Customer agrees to settle the Agency’s professional fee in US Dollars either through the Agency’s merchant account, PayPal, Authorize.net, or a Bank Transfer.
6. NON-DISCLOSURE
Both parties mutually agree that certain confidential information may be exchanged during the course of this engagement. To ensure the protection of such information and in consideration of the agreement to exchange said information, the parties agree not to disclose the following.
a. Technical materials, models and relevant technical articles, technical reports owned by either party; b. Sales materials, including but not limited to all quality management methods, pricing methods, sales methods and customers’ materials;
c. All the intellectual property rights (including those exclusively owned by either party, whether owned now or developed in the future); and,
d. Any other information that either party claims as confidential.
The Client agrees that the Agency may, from time to time, share testimonials and results achieved as a result of service provided for marketing purposes. The Client can request that personal and brand information be omitted from case studies and testimonials.
7. MISCELLANEOUS
Non transferability: The rights and obligations under this Agreement are personal to the Customer. The Customer may not assign or transfer any rights or obligations under this Agreement.
Indemnification: The Customer will, at their own expense, defend, indemnify, and hold the Consultant, its agents, and employees harmless from any and all claims, actions, liabilities, injuries, damages, losses, grants, costs, and expenses, including attorney fees, arising out of or in connection with any use of the Program(s) of this Agreement.
Integration: This Agreement, along with any additional terms or policies incorporated herein by reference, represents the entire Agreement between the Customer and Consultant concerning the Program.
The Parties each represent that they are authorized to enter into this Agreement.
8 . The parties are not intending this Facebook Marketing Agreement to create a partnership, agency, employer-employee, joint venture, or franchise relationship between MARKETING FIRM and CLIENT.
9. In the unlikely event that the Parties later have a dispute about the meaning of this Agreement or whether one or the other failed to meet their responsibilities under this Agreement, the Parties agree to the following:
(a) The complaining party will provide a written explanation of their dispute to the other party, and the parties will then, within seven (7) days, in good faith discuss the dispute and seek a mutually acceptable resolution. If the dispute has not been resolved within thirty (30) business days after such
good faith discussions begin, either party is free to assert its rights in court, if they choose. (b) In the event of such a dispute, the parties agree that this Agreement would be interpreted in accordance with the laws of the State of California (understanding laws
are interpreted different from state to state).
RULE OF THE GAME
THESE RULES ARE HERE SO THAT WE CAN BOTH SUCCEED LONG-TERM AND CREATE A BENEFICIAL RELATIONSHIP FOR ALL PARTIES INVOLVED. BY SIGNING THIS DOCUMENT, YOU ARE AGREEING TO THESE RULES:
1. I UNDERSTAND THAT VICOLIZE ONLINE CONSULTANT HAS MY BEST INTERESTS AT HEART AND BY OFFERING A GUARANTEE,THEY ARE TAKING A RISK FOR MY BENEFIT.
2. I UNDERSTAND THAT LEAD GENERATION IS ONLY A SUPPLEMENT TO MY SALES EFFORTS, NOT AN OVERNIGHT ONE-SHOT-CURE-ALL FOR MY BUSINESS.
3. THE GROWTH OF MY BUSINESS IS ULTIMATELY MY RESPONSIBILITY AND I UNDERSTAND THAT I MUST ENGAGE IN OTHER BUSINESS DEVELOPMENT ACTIVITIES INCLUDING, BUT NOT LIMITED TO: COLD CALLING,NETWORKING, PROMOTIONS..ETC AND NOT RELY SOLELY ON VICOLIZE ONLINE CONSULTANT FOR MY BUSINESSES SUCCESS.
4. I UNDERSTAND THAT IT IS MY RESPONSIBILITY TO FOLLOW UP WITH ANY AND ALL LEADS GENERATED BY VICOLIZE ONLINE CONSULTANT IN A TIMELY AND PROFESSIONAL FASHION SO AS TO ENSURE MAXIMUM EFFICIENCY AND MAINTAIN THEIR REPUTATION AS AN ETHICAL AND RELIABLE MARKETING SERVICES PROVIDER.
5. I AGREE TO ENABLE VICOLIZE ONLINE CONSULTANT TO DELIVER ON ANY AND ALL SERVICES OWED TO MY BUSINESS AND NOT ATTEMPT TO MICROMANAGE AND/OR IMPEDE THE PROCESS IN ANY CAPACITY.
6. I UNDERSTAND THAT VICOLIZE ONLINE CONSULTANT HAS MANY CLIENTS AND THUS I WILL ABIDE BY THE SCHEDULE SET IN PLACE AND COMMUNICATE WITH THE TEAM IN A TIMELY AND RESPECTFUL MANNER.
7. I UNDERSTAND THAT VICOLIZE ONLINE CONSULTANT IS NOT A PERFECT SYSTEM, AND LIKE ANY BUSINESS STRATEGY CAN BE INFLUENCED BY EXTERNAL FORCES AND CHALLENGES OUTSIDE OF THEIR CONTROL.
8. YOU WILL BE ASKED TO SHOW US YOU ATTENDED ALL THE STRATEGY SESSIONS, PROVIDED THE TEAM WITH THE ACCESS AND INFO WHEN IT WAS NEEDED, RESPONDED TO OUR QUESTIONS, FOLLOWED UP CORRECTLY WITH THE LEADS, AND DID ALL THE HOMEWORK TO CONTRIBUTE TO YOUR OWN SUCCESS.
9. THE CLIENT MUST PROVIDE 14 DAYS NOTICE TO THE AGENCY TO TERMINATE THE CONTRACT PRIOR TO THE AGREED UPON TERM. A 50% PENALTY FEE ON REMAINING AMOUNTS DUE FOR THE DURATION OF CONTRACT SHALL BE PAYABLE FOR THE TERMINATION OF THE CONTRACT.
10. ANY UNNOTICED REMOVAL OF VICOLIZE ONLINE CONSULTANT’S TEAM FROM CLIENT’S FACEBOOK’S PAGE AND CAMPAIGNS WILL RESULT IN VOIDED GUARANTEE AND RESPONSIBILITIES.

BY SIGNING BELOW, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO ALL OF THE AFOREMENTIONED TERMS, INCLUDING THOSE RELATED TO SERVICE FEES, STRICT NO REFUND POLICY, AND CONFIDENTIALITY.
